1.7 "Portal" means the Applicant's personal client portal on royalgoldinvest.com. "Notice" means a communication posted in the Portal and sent to the e-mail address registered in the Portal.
1.8 "Days" are calendar days. Time limits end at 23:59 Dubai time (United Arab Emirates) on their last day.
2. Subject of the contract
2.1 The Company provides the services in Article 4 so that the Included Persons obtain citizenship of the Republic of Vanuatu, and the Applicant pays the Contract Price as set out in Articles 8 and 9.
2.2 The Company undertakes to achieve this result within the limits of Article 10 (guarantee and refunds).
3. Parties and Included Persons
3.1 The details of the Parties are those shown in the header of this contract. The details of the Applicant and of the Included Persons are taken from the application in the Portal and are listed in Annex 1.
3.2 The Applicant confirms that the Applicant is entitled to act for the Included Persons, including the children listed in Annex 1, and will obtain any consent of another parent or guardian that the Authorities require.
3.3 Persons who are not listed in Annex 1 are not covered by this contract.
4. Scope of services
4.1 The Company will:
- review the information given by the Applicant and tell the Applicant which documents each Included Person must provide;
- check the documents for completeness and form and ask for corrections or additional documents;
- tell the Applicant which documents need translation, certification or legalisation (Article 6);
- prepare the application forms and the application file;
- submit the application to the Authorities through the authorised channels;
- communicate with the Authorities and their authorised agents about the application, including during the FIU review;
- keep the Applicant informed in the Portal of every material step;
- assist the Applicant after the decision until the citizenship documents issued by the Authorities are delivered.
4.2 The Company does not represent the Applicant before courts, and does not give tax, investment or immigration advice for other countries.
4.3 The Contract Price covers every cost of the application agreed under this contract, from the start of the services until the final citizenship documents are issued, in particular: all official government fees connected with the application; the review, processing and eligibility (due diligence) stages; the Company's administrative services and follow-up; the translation of all documents of the Applicant and of the Included Persons; certification, notarisation and the other documentation steps required; the execution costs needed within the scope of the services; the issue of the Vanuatu passport; the issue of the Vanuatu national identity card according to the applicable procedure; and the issue of the official certificate or document of citizenship. No additional or hidden cost is charged to the Applicant. The acceptance of the application and the issue of documents remain subject to the eligibility assessment and the decision of the competent Authorities (Article 10.3).
5. Obligations of the Applicant on information and documents
5.1 The Applicant will give true, complete and up-to-date information and genuine documents for every Included Person, and will provide originals or certified copies when asked.
5.2 The Applicant will provide documents within the time limits the Company communicates, which will be reasonable, and will attend interviews, biometric appointments or other steps if the Authorities require them.
5.3 The Applicant will inform the Company without delay of any change in the information given, including changes in family status (Article 13), criminal or civil proceedings, or the validity of passports.
5.4 The Applicant will cooperate with the due diligence carried out by the Authorities and will not submit forged or altered documents.
5.5 The Applicant will keep the Portal login secret. Actions confirmed in the Portal with the Applicant's login are treated as the Applicant's actions.
5.6 The Company and the Authorities may verify the identity of the Applicant and of the Included Persons and the source of the funds, as the programme and the applicable law require, and may ask for further documents or information for this purpose.
6. Translation and completion of documents
6.1 The Company tells the Applicant which documents must be translated, certified, notarised or legalised (for example with an apostille), and in which form the Authorities accept them.
6.2 Translations are made by translators the Company accepts. The Company checks that every document is complete before submission and never changes the content of a document.
6.3 The costs of the translation, certification, notarisation and legalisation of the documents, of the medical examinations and of the courier services that the application requires are included in the Contract Price (Article 4.3); the Applicant does not pay them separately to the Company or to a service provider.
7. Stages of the application and contact with the Authorities
7.1 The application normally passes through these stages: signing of this contract and payment of the Deposit; collection and review of documents; submission of the application; review by the FIU; decision of the FIU and Notice; Second Payment; further processing and the decision on citizenship; issue and delivery of the citizenship documents.
7.2 The Company is the contact point with the Authorities for the application as far as the Authorities allow. The Applicant will not contact the Authorities about the application without informing the Company, unless the Authorities ask the Applicant directly.
7.3 Term of the services. The term of this contract — the period of the Company's commitment for its services — is one hundred and ten (110) Days. It starts on the day (Dubai time) on which the Applicant signs this contract and runs until the Vanuatu passport is delivered; its last day is the one hundred and tenth Day after the day of signing. The term covers every stage of the application: the Deposit and the Applicant's documents, the review and approval of the FIU, the Second Payment within the time in Article 9.4, the decision on citizenship, and the issue and delivery of the passport. The Portal shows the start, the last day and the Days remaining. The term is never extended or suspended automatically; it is extended or suspended only where this contract provides for it, and only by a written record in the Applicant's file. The Authorities decide independently and set their own processing times; the term is the Company's commitment for its own services, it is not a time limit for the Authorities, and their decisions are not in the Company's control. The Company informs the Applicant in the Portal of every decision and request it receives.
7.4 The Authorities may reject the application or a person included in it. The consequences between the Parties are governed by Article 10.
8. Contract Price
8.1 The Contract Price depends on the persons included and is set by the price table approved by the Company:
- single applicant: USD 130,000 (Deposit USD 52,000; Second Payment USD 78,000);
- married couple without children: USD 150,000 (Deposit USD 60,000; Second Payment USD 90,000);
- married couple with one child: USD 165,000 (Deposit USD 66,000; Second Payment USD 99,000);
- married couple with two children: USD 180,000 (Deposit USD 72,000; Second Payment USD 108,000);
- married couple with three children: USD 190,000 (Deposit USD 76,000; Second Payment USD 114,000).
8.2 The Contract Price of this contract, its Deposit and its Second Payment are stated in Annex 1. They are fixed when the Applicant signs and are not changed by any later change of the price table.
8.3 The Company charges no other amount, percentage or payment stage under this contract.
8.4 All amounts are in United States dollars (USD). Payments are made in USDT (Tether) on the TRON network (TRC-20), as set out in Articles 8.5 to 8.8.
8.5 For each payment stage the Company issues a payment request in the Portal. It states the amount in USD, the resulting amount in USDT at the contractual conversion of 1 US dollar = 1 USDT, the receiving address, the network and how the transfer is identified (Article 8.7). The conversion is a calculation rule of this contract, not a statement of the market price of USDT; no floating rate, spread or automatic change applies. For example, USD 150,000 is 150,000 USDT. A payment request, once issued, never changes.
8.6 The Applicant sends exactly the amount in USDT stated in the payment request, only on the TRON network (TRC-20), only to the address stated in that payment request. The network fees of the transfer are paid by the sender and are not deducted from that amount. A transfer of another token, on another network or to another address may not be recoverable.
8.7 The Applicant enters the transaction ID (TXID) of the transfer in the Portal. A payment counts as received only after the Company has verified the transfer on the TRON network, matched it to the payment request and confirmed it through its financial review by two authorised persons; the Portal then shows the payment. A transfer that is only visible on the network is not yet a confirmed payment.
8.8 Only the receiving address stated in the Applicant's own payment request in the Portal applies; the Company may change its receiving address for later payment requests. The Company never asks for payment to an address sent by other means and never asks for a private key or recovery phrase.
9. Payment terms
9.1 The Deposit (40 % of the Contract Price) is payable when this contract is signed.
9.2 The Second Payment (60 % of the Contract Price) becomes payable only after the FIU has approved the application.
9.3 When the Company receives the approval of the FIU, it gives the Applicant formal Notice of it in the Portal and by e-mail to the registered address. The Company records the date and time of the Notice.
9.4 The Applicant has at least forty (40) Days from the Notice to make the Second Payment. The last day for payment is the fortieth Day after the day of the Notice; it is stated in the Notice and in the Portal.
9.5 If the Second Payment is not made by the last day and no written extension has been agreed, the Company may terminate this contract by Notice and stop work on the application. In that case the Deposit is not refunded, to the extent permitted by mandatory law.
9.6 The Company may agree in writing to extend the time for the Second Payment. An extension is valid only in writing and is recorded in the Applicant's file; the Portal then shows the new last day.
9.7 The Second Payment never becomes payable if the FIU rejects the application.
9.8 Every confirmed payment and its date are recorded in the Portal. The network fees of a USDT transfer are paid by the sender (Article 8.6).
10. Guarantee and refunds
10.1 Official rejection. If the FIU or another competent authority of the Republic of Vanuatu officially rejects the application, including a final refusal of citizenship, the Company refunds to the Applicant one hundred per cent (100 %) of all amounts received for this application, without any deduction — no government fees, translation costs, internal fees, review costs, penalty or administrative fee are deducted — within at most seventy-two (72) hours of the time the Company receives the official and citable notice of the rejection. This is an express exception to every rule of this contract or of any policy under which payments are not refunded, and no such rule limits it. The Portal then shows the refund and the time by which it is due.
10.2 Guarantee of the result. The Company undertakes to achieve the result of this contract. If the Applicant has met every obligation under this contract, has given correct documents and has paid as agreed, but citizenship is finally not granted, the Company refunds all amounts received under this contract.
10.3 The decision to grant citizenship belongs to the sovereign Authorities of the Republic of Vanuatu. The guarantee in Article 10.2 is the Company's own financial obligation to refund; it is not a promise of a decision by the Authorities. The Company does not guarantee that the Authorities will grant citizenship.
10.4 The following cases are not covered by Article 10.2 and are reviewed separately: voluntary withdrawal by the Applicant (Article 11); false or misleading information; forged or altered documents; a material breach of this contract by the Applicant. These cases never reduce or exclude the refund under Article 10.1.
10.5 The Company calculates every refund, records it in the Applicant's file and actually pays it to the Applicant through its authorised payment process; a change of status in the Portal alone never moves money. A refund under Article 10.1 is paid within the 72 hours stated there. An amount received in USDT is refunded in USDT for the same amount, to a TRON address of the Applicant; the network fee of the return transfer is paid by the Company and never reduces the amount refunded. The Company records the official rejection document, the time its notice was received, the exact amount received, the time the refund is due, the persons who approved it, the receipt and the transaction ID of the refund transfer, and the time it was completed.
11. Withdrawal by the Applicant
11.1 The Applicant may withdraw from the application at any time by a written statement sent through the Portal or to info@royalgoldinvest.com. The Company then stops work on the application.
11.2 The customer is aware that payments related to the review and processing services for the Vanuatu citizenship application, including government fees, eligibility review and services whose performance has begun, will be non-refundable in accordance with the provisions of the contract, except where the applicable law or the approved contract requires a refund.
11.3 Accordingly, in case of a voluntary withdrawal after signing, the amounts paid are not refunded, subject to the rights that mandatory law gives the Applicant and that cannot be waived, including a statutory right to withdraw from a contract concluded at a distance where such a right applies to the Applicant. This rule concerns only a voluntary withdrawal; it never applies to a refund after an official rejection under Article 10.1.
11.4 A withdrawal does not affect a refund that had already become due under Article 10.1 or 10.2 before the withdrawal.
12. Termination and end of the contract
12.1 This contract ends when the citizenship documents of the Included Persons have been delivered, when a refund under Article 10 has been paid in full, or when it is terminated.
12.2 The Company may terminate this contract under Article 9.5. The Company may also terminate it by Notice stating the reasons if the Applicant gives false or misleading information, submits forged or altered documents, or commits another material breach of this contract (Article 10.4). The Applicant may terminate this contract by Notice stating the reasons if the Company commits a material breach of this contract. The financial consequences of a termination follow Articles 9.5, 10 and 11 and the applicable law; a termination never reduces or excludes a refund under Article 10.1.
12.3 On termination the Company stops work, informs the Authorities where needed, and returns original documents it holds to the Applicant. Records are kept as described in the privacy policy.
13. Changes in family status
13.1 The Applicant informs the Company without delay of any marriage, divorce, birth, adoption or death that concerns an Included Person or a person who could be included.
13.2 A change of the Included Persons requires a written amendment signed by both Parties. The amendment applies the price of the price table for the new composition; the signed Contract Price never changes by itself. For a composition that the price table does not cover, the Company first reviews the eligibility of the persons, then sets the price individually and records it in a written amendment (Annex 2) that the Applicant reads and signs; the amount becomes part of the contract only after the Company has approved it and the Applicant has signed the amendment. No additional price is ever set automatically.
13.3 The Company cannot ensure that the Authorities accept a person added after the application was submitted.
14. Delays and force majeure
14.1 The Company is not responsible for delays caused by the Authorities, by third parties, by missing or late documents of the Applicant, or by events beyond the reasonable control of the Parties, such as natural disasters, war, epidemics or measures of public authorities.
14.2 The Company informs the Applicant in the Portal of a material delay as soon as it becomes aware of it. Time limits of the Applicant are extended by the duration of an event that prevents the Applicant from acting.
14.3 Delays and force majeure never remove the refunds under Article 10.
15. Confidentiality and data protection
15.1 Both Parties keep confidential all information received under this contract, except where its disclosure is needed to perform the contract or is required by law.
15.2 The Company processes personal data as described in its privacy policy and personal data processing notice, and shares the data of the Included Persons with the Authorities and their authorised agents only as far as needed for the application.
15.3 Identity documents are exchanged only through the Portal and are never sent as e-mail attachments.
16. Correspondence and official notices
16.1 Notices under this contract are given in the Portal and by e-mail to the address registered in the Portal. The Company's official e-mail address is info@royalgoldinvest.com.
16.2 A Notice is given when it is posted in the Portal and sent by e-mail. The Applicant keeps the e-mail address in the Portal up to date and checks the Portal regularly.
17. Disputes, applicable law and jurisdiction
17.1 The Parties will first try to settle any dispute amicably through the Company's complaint process, by a written message in the Portal or to info@royalgoldinvest.com.
17.2 Disputes between the Company and the Applicant arising out of or in connection with this contract, including claims for payment and refunds, that are not settled under Article 17.1 are finally resolved by arbitration. The seat (legal place) of the arbitration is Dubai, United Arab Emirates; this is not a choice of the Dubai International Financial Centre.
17.3 Matters concerning the sovereign decisions of the Authorities on the application, including the decision of the FIU and the decision on citizenship, are governed by the law of the Republic of Vanuatu and belong exclusively to its competent authorities and courts. This contract does not submit those decisions to the courts of Dubai; the financial consequences between the Parties remain subject to Article 17.2.
17.4 This contract and the Company's service, financial and contractual obligations under it are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. Citizenship, eligibility, the decisions of the Authorities and the issue of citizenship documents are governed by the law of the Republic of Vanuatu (Article 17.3).
17.5 Nothing in this Article removes rights that mandatory law, including mandatory rules on consumer protection and jurisdiction, gives the Applicant and that cannot be excluded by agreement. The arbitration agreement in Article 17.2 applies only within the limits of that law.
18. Electronic signature and record
18.1 The Applicant signs this contract electronically in the Portal by typing the full name shown for Party 2 and by giving each confirmation separately. The Parties agree that this electronic signature binds them like a handwritten signature, to the extent the applicable law allows.
18.2 The Company records the contract number, the case number, the version and language of the text, the date and time of signing, the confirmations, the way the Applicant was authenticated (signed-in Portal account with a verified e-mail address, and two-step verification where it is enabled), the IP address and device information, and the digital fingerprints (SHA-256) of the signed text and of the PDF file.
18.3 The signed contract is kept as a PDF file that cannot be changed and is available in the Portal. Later versions of this text, of the price table or of the website never change a signed contract.
19. Language versions and interpretation
19.1 This contract is available in English, Turkish, Persian and Simplified Chinese. All versions contain the same obligations, amounts, time limits, rights and guarantees.
19.2 The Applicant signs the version in the language shown in the Portal. If language versions differ, the version that the Applicant viewed and signed when concluding this contract prevails, to the extent this does not conflict with mandatory law. The Company keeps the other language versions consistent with it in meaning and in every financial term.
19.3 Headings are for orientation only.
20. Entire agreement and amendments
20.1 This contract, its Annex 1 and the policies it refers to form the entire agreement of the Parties on its subject.
20.2 Amendments are valid only in writing and must be accepted by both Parties, including electronically in the Portal.
20.3 If a provision is invalid, the other provisions remain in force, and the Parties replace the invalid provision with a valid one that comes closest to its purpose.
21. Financial annex and application data
21.1 Annex 1 is produced from the application in the Portal and forms part of this contract. It states the Parties, the contract number, the case number, the Included Persons, the type of application, the Contract Price, the Deposit and the Second Payment with their payment conditions, and the version of the price table. For a composition that the price table does not cover, the individual price is set out in Annex 2 (Article 13.2), which also forms part of this contract.
21.2 The Applicant checks Annex 1 before signing and confirms that it is correct.
